One-Time Services & Subscription Policy and Terms

1. Introduction

Welcome to SPED Technology (“SPED”).

These General Policy & Terms explain how our services work, what you can expect from us, and what we expect from you as our client. By purchasing, subscribing to, or using any SPED service, you agree to these Terms.

2. Our Services

SPED provides digital services for restaurants and businesses, including:

Website design and hosting

Online ordering and delivery systems

POS ordering machine setup

Digital marketing and branding services

SEO, analytics, and online presence setup

Services are offered as:

One-time services

Monthly subscription packages

Yearly subscription packages

3. One-Time Services

3.1 What One-Time Services Mean

One-time services are services delivered once and paid with a single payment. Examples include website setup, branding, marketing campaign setup, and system configuration.

3.2 Payment for One-Time Services

Full payment is required before work starts, unless agreed otherwise in writing. Once work has started, one-time service fees are non-refundable.

3.3 Delivery & Revisions

Delivery timelines depend on the service scope and how quickly the client provides required information.

Revisions are limited to what is included in the selected service.

Extra changes or requests may require additional fees.

4. Website-Related One-Time Services & Mandatory Subscription

4.1 Mandatory Subscription Rule

All website-related one-time services are connected to a mandatory subscription.

This includes:

Website design or setup

Brand-customized websites

Domain, hosting, and DNS setup

Website security, updates, and integrations

Online ordering system connected to a website

These services cannot run independently without an active subscription.

4.2 Required Subscription

To activate and keep a website service running, the client must have one of the following:

Website Care & Support Subscription, or

Website + Digital Marketing Subscription, or

Another SPED-approved website maintenance plan

4.3 Subscription Period

Minimum subscription period is 6 months.

Some services require a 12-month subscription, depending on scope.

Subscription terms are agreed before service delivery.

4.4 Suspension

If the required subscription is canceled early or payment is overdue, SPED may:

Suspend website access

Disable hosting, ordering system, or integrations

Pause technical support

No refunds apply in such cases.

5. Monthly Subscription Packages

5.1 Subscription Term

Monthly subscriptions require a minimum commitment of 6 months.

Some plans may require 12 months, depending on the service.

5.2 Billing

Monthly subscriptions are billed in advance.

Payments must be made on time to avoid service interruption.

5.3 What’s Included

Only the services listed in the selected plan are included.

Any work outside the plan scope may be billed separately.

6. Yearly Subscription Packages

6.1 Term & Payment

Yearly subscriptions cover 12 months.

Payment is made upfront or as agreed.

Discounted pricing may apply to yearly plans.

6.2 Early Cancellation

Yearly subscriptions are non-refundable once started.

Early cancellation does not remove payment obligations.

7. Cancellation & Changes

7.1 Cancellation Notice

A 30-day written notice is required to cancel any subscription.

Cancellations during the minimum commitment period may result in remaining fees being charged.

7.2 Plan Changes

Plans can be upgraded or changed with agreement.

Downgrades may take effect after the current billing period.

8. Client Responsibilities

To help us deliver quality service, the client agrees to:

Provide correct and complete business information

Deliver content (logos, menus, text, approvals) on time

Review work and provide feedback promptly

Follow applicable laws and regulations

Delays caused by the client may delay delivery timelines.

9. Digital Marketing Disclaimer

SPED does not guarantee sales, traffic, or rankings.

Marketing results depend on many factors such as competition, location, budget, and product quality.

Advertising budgets are not included unless clearly stated.

10. VAT & Taxes

All prices are subject to Finnish VAT, unless stated otherwise.

The client is responsible for any additional taxes required by law.

11. Intellectual Property

SPED owns its internal systems, tools, templates, and frameworks.

After full payment, the client receives usage rights for the delivered content.

Reuse or resale of SPED systems without permission is not allowed.

12. Confidentiality

Both SPED and the client agree to keep business, financial, and technical information confidential, unless disclosure is required by law.

13. Limitation of Liability

SPED is not responsible for indirect or consequential losses.

SPED’s total liability is limited to the amount paid by the client for the specific service.

14. Force Majeure

SPED is not responsible for delays caused by events beyond reasonable control, including technical failures, third-party service outages, or legal restrictions.

15. Governing Law

These Terms are governed by the laws of Finland.

16. Acceptance

By purchasing, subscribing to, or using SPED services, the client confirms that they have read, understood, and accepted these General Policy & Terms.ms.
